1. Services Scope
Partner provides ground transport services under POINT-TO-POINT NSW
regulations.
- A1 Apps: Software development company operated and managed by A1 Rides.
- Cross-Border Booking: Job outsourced/received between Vendors via A1 Rides web
portal.
- Driver App: Driver will use the A1 Driver App (mobile application
for trip management).
- Restrictions:
- Vendor may not reverse-engineer, resell, or modify the software.
- All drivers must use the A1 Driver App exclusively for job management.
- Vendor: Taxi operator, shuttle service operator, limo provider, or booking service
provider registered with Point-to-Point NSW, using A1 Rides’ web-based software & mobile app for
drivers.
- Portal: A1 RIDES online booking portal/dashboard.
- Vehicle Types: SEDAN, SEDAN LIMO, SEDAN LUXURY, SUV LIMO, SUV LUXURY, 7-SEATER VAN,
7-SEATER VAN LUXURY, 8-SEATER VAN, 8-SEATER VAN LUXURY, Shuttles, 12-SEATER VAN,
wheelchair-accessible vehicles (WAVs).
- Coverage: All NSW regions where Partner holds Point-to-Point Transport registration
(BSP number).
2. Commercial Terms
- Payouts: Weekly payments in AUD via bank transfers or EFT. GST-inclusive pricing.
- Trip Cancellations Policy:
- Cancellation up to 72 hours in advance → No cancellation fees.
- Cancellation within 48 hours → 50% of the total fare.
- Cancellation within 24 hours → No refund.
- Grant of License: A1 Rides grants Vendor a non-exclusive, non-transferable license
to use its software (Portal, Driver App, and tools) per the selected Price Plan.
- Operations: A1 RIDES can share drivers and Vendor Data with Point-to-Point NSW or
law enforcement agencies if required by law.
4. Driver Management
Drivers must download the A1 Driver App and upload the following documents:
- Valid driver’s license
- Vehicle registration
- Vehicle insurance
- Vehicle Inspection Report (Pink Slip)
- Police checks
5. Document Approval
- Vendor: Must verify and grant initial approval of driver documents via the Portal.
- A1 Rides: Reserves final right to approve/reject documents for compliance. Rejected
drivers are barred from the platform.
6. Fees & Commissions
- Booking Fees: $2 per booking (all Price Plans), negotiable for high-volume Vendors
(>500 bookings/month).
- Commissions:
- 20% commission on:
- Jobs generated by A1 Rides and outsourced to Vendor.
- All Cross-Border Bookings.
- 0% commission on jobs sourced/booked solely by Vendor.
- Invoicing & Payment:
- Fees deducted automatically from Vendor’s earnings weekly.
- Balances settled weekly via EFT.
- Cross-Border Bookings:
- 20% commission on completed trips.
- $2 booking fee per trip.
- Vendor assumes liability for service quality.
- Note:
- Golden/Platinum includes a company website for online bookings/payments.
- Overage Fees: $10/month per extra driver (Basic/Silver), $5/driver (Gold).
NSW Legal Obligations
- Partner holds valid NSW Point to Point Transport Commissioner accreditation (BSP# …).
- Maintains Commercial Passenger Vehicle Insurance ($10M+ public liability).
- Vehicles pass NSW annual safety inspections.
- Drivers screened as per NSW rules (driving license with condition T, history, criminal background
checks).
- Complies with Privacy Act 1988 and NSW Data Protection Laws.
Vendor Obligations
- Ensure drivers comply with local transport laws.
- Verify driver documents before initial approval.
- Maintain service quality for Cross-Border Bookings.
A1 Rides Obligations
- Provide 24/7 software support (chat/email).
- Resolvable issues must be addressed ASAP.
Intellectual Property
- All software, trademarks, and data remain A1 Rides’ property.
- Vendor data (driver lists, bookings) may be used anonymously for analytics.
Liability & Indemnity
- A1 Rides is not liable for Vendor/driver misconduct or service failures in Cross-Border Bookings.
- Vendor indemnifies A1 Rides against third-party claims from its operations.
Term & Termination
- Term: 12 months (auto-renews).
- Termination:
- 30 days’ written notice.
- Immediate for breach (e.g., document fraud, unpaid fees).
- Post-Termination: Vendor must uninstall all software and delete data.
Governing Law
This agreement is governed by NSW, Australia law. Disputes resolved via arbitration in Sydney.
Miscellaneous
- Amendments: 30 days’ notice via email/Portal.
- Force Majeure: Excused for events beyond reasonable control.
- Notices: Sent to Vendor’s registered email/Portal dashboard.
Liability & Insurance
- Partner fully responsible for service failures, accidents, or breaches of NSW law.
- Insurance Requirements:
- Commercial Vehicle Insurance: $10M+ per occurrence.
- Workers Compensation: As required by NSW Safety, Return to Work and Support Act 2012.
- Cyber Liability: If storing customer data locally (recommended).
- Indemnity: Partner indemnifies A1 RIDES for claims arising from its operations
(e.g., passenger injury).
Quality Standards
- Minimum Rating: 7.5/10 on A1 RIDES. Below 6.5 for 2+ months = suspension.
- Airport Protocols: Meet Sydney Airport’s Public or Rideshare pickup rules.
Termination Rights
- By Partner: 30 days’ notice (no penalty if A1 Rides modifies terms adversely).
- By A1 RIDES: Immediate termination for loss of PPT accreditation, fraud, or safety
incidents.
- Post-Termination: Partner fulfills existing bookings; A1 RIDES removes listings
within 48h.
Disputes & Compliance
- Governing Law: NSW, Australia (exclusive jurisdiction of NSW courts).
- Dispute Resolution: Mediation via NSW Small Business Commission before litigation.
- Regulatory Changes: If NSW PPT regulations increase Partner’s costs >10%, parties
renegotiate terms.
Exhibits
- Exhibit A: Partner’s PPT Accreditation, Insurance Certificates, Fleet List (Rego,
Class, Capacity).
- Exhibit B: Service Areas (Sydney Airport, CBD, North Shore, Western Sydney).
- Exhibit C: NSW Compliance Checklist (Annual inspections, driver training logs).
Key Protections for Sydney Operators
- GST Clarity: All invoices are inclusive of GST.
- Direct Booking Rights: Partner may promote its own app/website (e.g., QR codes in vehicles).
